01Agreement to these terms
These Terms of Service ("Terms") govern your use of vintageventuresusa.com and form part of any engagement with VINTAGE VENTURES LLC ("we", "us", "our"). 03Services and engagement documents
VINTAGE VENTURES LLC provides marketing and consulting services to business owners. Information on this website describes those services in general terms and is not an offer that can be accepted.
Paid work is performed only under a written engagement document, such as a proposal, scope of work or services agreement, signed or accepted in writing by both parties. It sets out scope, deliverables, timeline, fees, payment schedule and any acceptance criteria. Verbal or implied commitments are not binding. If an engagement document conflicts with these Terms, the engagement document controls.
04No professional advice
We are not your attorney, accountant, tax adviser or financial adviser. Content on this website and advice given in an engagement relate to marketing and business operations only. Obtain independent professional advice on legal, tax, accounting and financial matters.
05Results
Marketing outcomes depend on factors outside our control, including market conditions, competition, pricing, platform rules and the client's own operations. Descriptions of our services and any projections discussed are not a guarantee about outcomes. Any service levels we commit to are stated in the engagement document.
06Fees, invoices and payment
Fees, deposits, payment schedule and accepted payment methods are stated in the engagement document. All amounts are in U.S. dollars. Invoices are payable by the due date shown on them.
Questions about an invoice should be raised in writing as described in our Fulfillment Policy. Where a monthly engagement renews automatically, the engagement document states the renewal terms and how to cancel, consistent with California's automatic renewal law (Cal. Bus. & Prof. Code section 17600 et seq.).
07Client responsibilities
To allow us to perform, the client agrees to:
- Provide accurate information, timely decisions and a designated contact with authority to approve work
- Grant access to accounts and materials needed for the engagement, and keep ownership of its own accounts
- Hold the rights to any logos, images, text or data it supplies to us
- Review and approve content before it is published; the client is responsible for the accuracy of claims about its own products and services
- Obtain any consent required to contact its own customers, and comply with the laws that apply to its business
- Pay invoices when due
08Intellectual property
The text, design, graphics and marks on this website belong to VINTAGE VENTURES LLC or its licensors. You may view and print pages for personal or internal business reference only.
Ownership of deliverables created in an engagement is set out in the engagement document. Unless it states otherwise, custom deliverables transfer to the client once all amounts due for them are paid, and we keep ownership of our pre-existing materials, templates, methods and know-how, with a non-exclusive license for the client to use any that are embedded in its deliverables. Third-party materials, such as stock assets, fonts and software, remain subject to their own licenses.
09Confidentiality
Each party will use the other's non-public business information only to perform or receive the engagement, protect it with reasonable care and disclose it only to people who need it for that purpose, or where required by law. This does not apply to information that is public, already known to the recipient, received lawfully from a third party, or independently developed.
10Third-party platforms
Our work often involves platforms operated by others, such as advertising networks, social media sites, email services, CRM (customer relationship management) software and website hosts. Their terms govern their services. We are not responsible for their availability, policy changes, fees, account restrictions or decisions.
11Communications and consent
By giving us your contact details, you consent to receive messages about your inquiry or engagement by email, telephone and text. Marketing messages are sent only with consent and in line with the CAN-SPAM Act and the Telephone Consumer Protection Act. Reply STOP to opt out of texts. Message and data rates may apply. Consent is not a condition of any purchase.
12Acceptable use of the website
You may not:
- Attempt unauthorized access to the website or its systems
- Interfere with its operation, including through automated scraping or excessive requests
- Submit false, misleading or unlawful information
- Copy or republish its content for commercial purposes without our written permission
13Disclaimer of warranties
The website is provided "as is" and "as available". Except as stated in a signed engagement document, the company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.
14Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue or data. Our total liability arising from an engagement is limited to the fees the client actually paid under that engagement in the 12 months before the claim arose. Where the law does not allow a limitation, liability is limited to the maximum extent the law permits.
15Indemnification
You agree to defend and indemnify us against third-party claims arising from your breach of these Terms, your misuse of the website or deliverables, materials you supplied to us, or your violation of law or the rights of others.
16Term and termination
Either party may end an engagement as its engagement document provides. Either party may terminate for material breach on 30 days written notice if the breach is not cured within that period. On termination the client pays for work performed and approved expenses incurred through the effective date. Cancellation is handled under our Fulfillment Policy. Sections on intellectual property, confidentiality, liability, indemnification and disputes survive termination.
17Disputes and governing law
Before starting any legal proceeding, a party must send a written notice describing the dispute to the other party, and both parties will try in good faith to resolve it within 30 days. Notices to us go to info@vintageventuresusa.com and to our business address.
These Terms and any engagement are governed by the laws of the State of California, without regard to its conflict of laws rules. Any proceeding will be brought exclusively in the state or federal courts located in San Bernardino County, California, and each party consents to their jurisdiction.
18Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, utility or internet outages, platform failures, government action or public health emergencies, provided it resumes performance as soon as reasonably practicable. Payment obligations for work already performed are not excused.
19Severability, waiver and assignment
If any provision is held unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms or an engagement without our written consent. We may assign them in connection with a merger, acquisition or sale of the business.
20Entire agreement
These Terms, our Privacy Policy, our Fulfillment Policy and any engagement document form the entire agreement between the parties on their subject matter and replace prior discussions.
21Accessibility
We aim for this website to meet the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA. Motion effects respect your device's reduced motion setting. If you have difficulty using any part of the site, email info@vintageventuresusa.com or call (909) 281-2280 and we will provide the information in another format.
22Changes to these terms
We may update these Terms. The effective date above shows when they last changed. Continued use of the website after an update means you accept it. Changes do not alter an active engagement unless both parties agree in writing.
